Non-Disclosure & IP Agreement

1. Parties

This Non-Disclosure and Intellectual Property Agreement ("Agreement") is entered into between SyncCAD Solution ("Company") and the undersigned individual or entity ("Party"), which may be either a Worker (freelance contributor) or a Client (project commissioner).

2. Purpose

The purpose of this Agreement is to protect confidential information and intellectual property exchanged during the course of business, including but not limited to project briefs, design files, technical specifications, client identities, pricing, and business strategies.

3. Confidential Information

"Confidential Information" means any information disclosed by either party that is designated as confidential, or that reasonably should be understood to be confidential given the nature of the information. This includes:

• Project files, CAD drawings, 3D models, and rendered images
• Client names, company details, and project requirements
• Pricing, rates, payment terms, and financial arrangements
• Software, tools, templates, and internal workflows
• Business strategies, partnerships, and future plans

4. Non-Disclosure Obligations

Each party agrees to:

• Hold all Confidential Information in strict confidence
• Not disclose Confidential Information to any third party without prior written consent
• Use Confidential Information solely for the purpose of the agreed project or business relationship
• Take reasonable precautions to prevent unauthorized disclosure
• Notify the other party immediately upon discovering any unauthorized disclosure

5. Intellectual Property — Workers

All work product, deliverables, designs, drawings, models, renders, and other creative output produced by a Worker in connection with SyncCAD projects shall be considered work made for hire and shall be the sole and exclusive property of SyncCAD Solution upon full payment.

Workers must not:

• Retain, copy, or use deliverables for personal portfolios without written consent
• Contact clients directly or solicit work outside of SyncCAD channels
• Reproduce or resell any project files, templates, or client data

6. Intellectual Property — Clients

Upon receipt of full payment, Clients receive full ownership of all final deliverable files produced for their commissioned project. SyncCAD reserves the right to display completed work in its portfolio unless the Client requests otherwise in writing before project commencement.

Clients must not:

• Reverse-engineer, resell, or sub-license SyncCAD's proprietary tools or templates
• Claim ownership of work prior to full payment
• Share or publish unfinished deliverables without consent

7. Non-Solicitation

During the term of this Agreement and for a period of 12 months thereafter, both parties agree not to directly solicit, hire, or engage any employee, contractor, or client of the other party that they became aware of through the SyncCAD relationship.

8. Term & Termination

This Agreement is effective upon signing and remains in force for the duration of the business relationship, plus a confidentiality period of 3 years following termination. Obligations regarding Intellectual Property survive termination indefinitely.

9. Consequences of Breach

A breach of this Agreement may result in:

• Immediate termination of the business relationship
• Forfeiture of pending payments (for Workers)
• Legal action for damages and injunctive relief
• Recovery of legal fees and court costs

10. Governing Law

This Agreement shall be governed by the laws of the Republic of Indonesia. Any disputes shall be resolved through good-faith negotiation, and if unresolved, through binding arbitration or the competent courts of Indonesia.

11. Entire Agreement

This Agreement constitutes the entire agreement between the parties with respect to its subject matter and supersedes all prior oral or written agreements. This Agreement may be amended only by a written document signed by both parties.
